Areas That Andrew Offers Startup Consulting Services


The balance between issuing too many shares to founders and the effect on investors


Optics Optics Optics. What does that mean? It means when you go out to the street and try to raise money with investor's and they see that you have issued most or all of the shares in the first round to the co-founders leaving no shares for key hires or investors optically your company will look like a bunch of amateurs to investor's. This present two major problems.


First, the C Corp, if it wants to bring on new talent or take on investor monies will have to issues additional shares and everyone will get diluted; long story short everyone who received shares in the first round well they will be worth less. This does not look good optically for any startup pitching a investor.


Investor's will also shy away away from startups where the founders have no skin in game. Meaning, if a founder fully vests in shares at the moment the C Corp incorporates what is holding that founder back from leaving the company with all of their shares if a better opportunity presents itself. A major obstacle for the founder to quitting his or her own startup is knowing that they would be leaving stock on the table that has not yet vested.


If your company issues all of its stock immediately there will be no stock left over to attract key hires that you will need during the first year of your startup's existence. Any investor who is good at what they do will question why you now have to go an authorize the issuance of additional stock not only to hire additional talent but to feed the investor that is providing much needed capital. These early moves that you make in your startup will most likely affect whether you are successful or not.


Don't throw stock at a key hire who cannot immediately have an effect on the bottom line


All too often startups fall in love with potential key hires because they have a good reputation or are well known in their industry. If a SaaS business had a crystal ball when they first started out they would see that the most important thing is sales. Without sales there are no investors and without recurring revenues your company will likely not survive. Therefore, in the absence of much needed software development help the most important key hire is someone with a demonstrated record of sales in your vertical or industry.


But, you don't want to overpay for this person. You need to be smart about the amount of stock that has been issued and put yourself in the shoes of a investor who is asking why your startup threw so much stock at a key hire when they have not as of yet proven themselves.


If you want that key hire meet them half way. Give them a tiny bit of stock upfront to wet their whistle and then condition the vesting of their remaining stock on hitting certain sales milestones which are reasonable. If they fail to meet their sales targets and they are fired or quit at least you can demonstrate to a investor that your company gave up very little stock and in return took a risk on a proven individual. Things happen. Even really good sales people fail to execute on company business plans.


How To Pitch Investors


So you have a good product it is starting to get some traction and you have built a good team to support your go-to-market strategy. Now all is need is some investor money. And, your about to jump into some investor meetings and you know the entire future of the company hinges on this capital raise.


1. Know your market and your competition:


The fastest way to blow it in an investor meeting is not to know the market inside and out and where your product fits and also not knowing your competition. You are going to be asked questions about your go to market strategy, what value you provide in the marketplace, who are your competitors, and how is company different from them. The bottom line is how did you build a better mousetrap as your company will be facing competition?


2. Your management team


What is exciting about them? Are they confident without being arrogant? Will investor's walk out of your meeting feeling confident that they won’t be embarrassed by something you or your partners do after they give you money?


3. Connecting with investor's on a personal level


You need to be able to connect with investors on a personal level. You are going to need to build trust right out of the gate. This is so important to establish early on. There is nothing wrong with making investors laugh in a meeting. Successful entrepreneurs should be able to find a way to inject humor into their presentation and make investors laugh.


4. The presentation


You have to understand that investors are constantly being pitched; they have seen it all and all of the technology that startups use in their presentations. With that said you need to think completely outside of the box here. Your presentation cannot be a snooze fest. Rather, it needs to dazzle and pop. You are going to need to ditch the boring slide deck and instead show the investor's how your product works in a presentation that leaves nothing out but is as short as possible. I would rather go five minutes shorter and leave time for investor's to ask any questions they might have. 


Even if there is some negative that comes out of the Q&A it is still extremely valuable intelligence that your company can use to either fix the product or solution or allow you to change your presentation for the next investor meeting.


5.  Are you in control?


If someone came to you asking for $1 million and was sweating profusely and stumbling through their words would you give them the money even if you thought that their idea was a home run? The answer is probably not. So put yourself in the shoes of the investor sitting across from you. You are going to need to convey a sense of calm and control. Nervousness or sweating will turn them off. I would practice my presentation as much as possible and have as many people as you know sit and listen to it. Even if your best friend is not an investor they can still tell if you are nervous or having problems getting your words out.


6. Check your ego at the door


No matter how well your product works or how many times someone has told you that you are going to be rich from what you invented you still money to get from point A to point B. There is nothing wrong with being confident in an investor meeting. You just need to know the difference between cocky and confident. Being cocky and coming into an investor meeting with a big ego will get you nowhere quickly.

Before you begin the process of marketing and selling your company’s SaaS product to any enterprise customers you need to create a solid game plan.


Entrepreneurs start businesses typically in industries that they have worked in or that they have a fundamental understanding of the marketplace inside of that vertical and believe that their product is much better than the competition. Unfortunately, coming up with a great idea and having success marketing and selling it to potential customers are two totally different things.


In the very early stages of your company there is the need sometimes to create every feature or build your product out to satisfy the needs of any potential customer that shows interest.


But as your company grows it’s important to do research to validate ideas for new product features with not only existing customers but also prospective customers. You don’t want to expend time and money resources to build new features only to find out that there is no market for them. Remember it’s not a great feature if a customer won’t pay for them. That’s why you should always test your ideas first with people or customers you trust before you exhaust time and money building them.


Another mistake that you can make in trying to market and sell your SaaS product to prospective enterprise customers is limiting the scope of potential sales to people that you know in the business world who you believe for one reason or another would want to use your product. Perhaps your colleague from a past job now works at a company that you believe would be a great fit for to use your product. So what you do is reach out to this person and try to sell them on how great your SaaS product is. Chances are his or her company has no need to use your SaaS product or they are happy with their current SaaS vendor. Or, your friend or colleague is not the right decision maker to even consider using your SaaS product. By the time your friend perhaps tries to find that decision maker it could be months down the road and your product might have changed or your ideal customer type might be more narrowly focused on a certain industry.


Marketing and selling SaaS software to enterprise customers is all about having the right information and getting it quickly so you can start selling. 


Sending hundreds of emails to random VP’s at companies you are trying to sell to typically does not render a lot of fruit. This is because two VP’s in the same company might be identical on paper but one has nothing to do with deciding to use your product or not. So unless you have a disciplined focus and can identify the right decision makers you are going to be in for a long day.


Once you have figured out a system for finding key decision makers in the companies that you believe have a need to use your product you then need to figure out a way to market and sell to these customers in the most effective, time efficient manner.


One method of getting your company’s message about your product out to a lot of potential customers is to subscribe to automated marketing and sales software. This type of software helps your company to send out large numbers of emails to prospective customers. You should defintely look for software that tracks who opened your emails and who has responded to them.


Social Media should also be a part of your marketing strategy as you try to attract customers. You should create accounts on all of the major social media sites and choose domains or handles that match your business name.


Social media is a great mechanism to feature not only your company’s talent but to also make your product spring to life in an exciting way to hopefully attract new customers. Perhaps, you have developed a new feature and customers are excited about using it. You should also post a video to social media with hashtags showing the new feature.


Don’t be afraid to use social media sites to connect and communicate with both clients and prospective new customers. You would be surprised how quickly you can make new connections on different levels that sometimes are not even related to your business. Perhaps, one of the potential customers you are pitching likes to collect antiques and you start exchanging stories about the best places in upstate New York to look for old furniture.


Preparing To Meet With Investors


You need to be prepared when you meet with an investor. This includes creating a sales or pitch deck which contains financial projections for sales, costs, expenses and revenues. You have to remember that an investor can lose interest very quickly. If you hand them a 50 page sales deck or 100 slide pitch deck they are not going to be happy and likely will lose interest. You have to think of an investor as a child with no patience who has a limited attention span. So when you are presenting make your points and be concise about it. Don’t waste an investor’s time with endless diatribe about the finer points of your company. And, know your financials inside and out. 


The last thing you want to have happen is to be stumped on a question about sales projections in Q2 of next year. The bottom line is don’t wing it.


You also need to check your ego at the door. Unless you have successfully exited from other startups and are well know in your industry the only person in the room with an ego should be the investor. 


You need to be able to tell a clear and compelling story to investors about why companies will want to use your product. 


You need to be able to demonstrate who your target customer is and how you are going to effectively market your product to these prospective customers. 


The investor needs to get a clear picture of each team member and what they bring to the table. Remember, it’s the investor’s monies that is going to fund your salaries. 


Perhaps most important is if you can’t demonstrate how you are going to make money and a healthy return on the investment you will never get funded. 


One of the biggest impediments that Andrew had to overcome in trying to sell SaaS software to the Enterprise was being able to identify individuals that work for the prospective Enterprise customer who make the decision whether or not to use a SaaS product or not. While trying to sell SaaS software to the Enterprise Andrew spoke to many individuals in many different Enterprise companies who loved his company's product and wanted to use it but these individuals didn't have the decision-making capacity to get their companies to use the product. It was only after taking a deeper dive into the entire SaaS software marketing and sales process and what methods and techniques would work best to sell to the Enterprise that Andrew was able to effectively identify certain markers in Enterprise companies that enabled him to shorten the process of identifying those crucial key decision-makers who would get his company’s SaaS product into their company and shorten the sales process. 


Another issue that some startups have a hard time grasping is that unless you are a known commodity, have successfully exited from other startups and have investors drooling to give you money for your new venture your stock in an early stage company is worthless. It’s not worth anything unless you achieve success and investors want in on what you’re doing. However, your stock is a commodity that could be used to attract talent to your startup that otherwise you could not afford to pay with cash or salary.


Your stock is only worth something until someone puts a value on it and unless an investor comes along and gives you money thus creating a valuation your company is worthless. With that said, there are plenty of entrepreneurs with solid skill sets that want to join startups and can make huge contributions.


Take for example a startup that needs software developed. Would it be worth it for a startup to give a developer 10% of the company’s equity in exchange for developing its software product with half of the stock vesting over three years? If the developer can create the product and the startup doesn’t have the cash to pay them then it’s a great deal. On the open market a startup would have to pay a developer a ton of money in the United States to create a web based product and most startups don’t have that kind of capital.


If you’re in a cash strapped startup you have to be thinking about how to get your product developed in the shortest amount of time and then get it out to market. In reality, a large percentage of startups are created with little to no money and have no means to go and raise cash. Specifically, between hiring a developer to create a robust  web based application with API and marketing and selling the finished product to customers a startup could spend 100k to 300k. This doesn’t even include monies for salaries, rent, insurance, severs, travel, entertainment and attending conferences.

The biggest mistake your startup can make if you have limited capital is to agree to make substantial software development changes to your product to satisfy a potential customer if the customer is not going to either pay for these software development costs or in exchange for your company making the changes to your software the customer would be willing to sign a long-term deal for no less than two years. 


Hypothetically, there might be an executive in a particular company that wants certain software development work done to your software before it goes live so that your software integrates better with the customer's platform. However, in the same company there might be another executive on the same level who does not want to spend any money and wants your software to go “as-is.” You need to find a balance between these two Executives and figure out the right approach to make both individuals happy and get your software up and running as quickly as possible. 

When you are negotiating enterprise deals it's not enough to get the deal done. Rather, you have to make a deal that makes good business sense for your company.
